备注条款如下/The remarks read as follows:

1、产品的质量要求、技术标准：以厂商提供的同次产品的产品说明书为准。

Product Quality Requirements, technical standards: the same manufacturer to provide the same product specifications shall prevail.

2、产品使用声明：本合同所涉及的产品，乙方仅对产品自身的质量问题负责，不对使用中产生的数据而引起的其他后果负责。

PRODUCT USAGE STATEMENT: Party B shall only be responsible for the quality of the products under this contract, and shall not be responsible for any other consequences arising from the use of the data.

3、交货时间及收货人/DELIVERY TIME AND CONSIGNEE:

（1）交货日期：自收到全额货款之日起15天左右，如遇生产厂商停产或无库存，乙方需在合同签订后5日内通知甲方。

Delivery date: about 15 days from the date of receiving the full payment. If the manufacturer stops production or has no inventory, Party B shall notify Party A within 5 days after signing the contract.

（2）甲方联系人即为收货人，甲方亦可以另行指定其它收货人，但需要得到乙方的认可，同时乙方视该收货人的行为为甲方行为。

Party A's contact person shall be the consignee. Party a May appoint other consignees separately, but the consignees shall be approved by Party B, and Party B shall regard the consignees'behavior as that of Party A.

4、交货验收及存储/ACCEPTANCE AND STORAGE:

本合同中的报价，其中运费仅包含货品送达甲方所在地机场的费用（不包含从甲方机场到甲方指定地点的费用），甲方须在产品到达机场地点后，24小时内完成产品、出库单和发票的验收并签字确认，逾期视为验收完成且符合合同约定，验收细则如下:

For the quotation in this contract, the freight only includes the cost of goods delivered to the airport where Party A is located (excluding the cost of goods from the airport of Party A to the place designated by Party A). Party A shall complete the acceptance of products, delivery list and invoice within 24 hours after the products arrive at the airport and sign for confirmation. The overdue acceptance shall be deemed to be completed and in accordance with the contract. The acceptance details are as follows:

（1）检查产品包装，如有缺失、破损、变形等异常情形；仔细核对出库单、发票所载信息与实际产品是否完全一致。

Check the product packaging, such as missing, damaged, deformation and other abnormal circumstances; carefully check out the Warehouse List, invoice information and the actual product is completely consistent.

（2）甲方应完全按产品说明书及乙方或产品生产商技术资料的要求存储和使用产品。

Party A shall store and use the products in full accordance with the requirements of the product description and the technical data of Party B or the product manufacturer.

5、发票/Invoice:

（1）发票的购货单位名称即为甲方名称或甲方单位名称，甲方要求开具增值税专用发票的，需以书面形式向乙方准确提供相关开票信息。

（2）甲方、乙方应妥善安全地保存、管理相关票据，如遗失将按照《中华人民共和国发票管理办法》相关规定处理。

Party A and party B shall properly and safely keep and manage the relevant bills. If the bills are lost, they shall be handled in accordance with the relevant provisions of the Invoice Management Measures of the People's Republic of China.

6、货款支付（账号信息见表格上方）/Payment (see account information at the top of the form) :

（1）甲方需在[√]本合同签订后两日内付款。

Party A shall make payment within two days after the signing of this contract.

（2）甲方根据[√]本合同向乙方支付合同款。

Party A shall pay Party B the contract sum in accordance with this contract.

7、质量保证/Quality Assurance:

（1）产品质量问题甲方需在验收后15日内提出，提出方式：完整填写并提交乙方提供的质量问题反馈文档。经确认为质量问题，乙方负责退或换货。

Party A should put forward the quality problem within 15 days after acceptance. The Way to put forward is: Complete and submit the quality problem feedback document provided by Party B. Party B shall be responsible for returning or exchanging the goods if it is confirmed to be a quality problem.

（2）在产品质量是否符合合同约定的确认过程中，乙方技术部门可视情况决定是否进行现场确认，但非必须提供。

In the process of confirming whether the product quality is in conformity with the contract, party B's technical department can decide whether to confirm on-site or not, but it is not necessary to provide.

（3）确认为产品质量问题时，乙方不承担甲方产品金额以外的其它连带损失。

Party B shall not bear any joint and several losses other than the amount of Party A's products when the quality of the products is confirmed as a problem.

8、售后技术支持/After sales support:

（1）乙方技术部门提供产品验收后120日内的免费技术咨询，主要通过非现场的电话、电子邮件等方式进行，但乙方不承担科研风险。

Party B's technical department provides free technical consultation within 120 days after acceptance of the products, mainly by off-site telephone, email and other means, but party B does not bear the risk of scientific research.

（2）乙方技术部门可以提供本合同以外的收费技术服务，具体收费标准及服务项目参考技术服务相关资料或技术服务合同。

Party B's technical department may provide the technical service other than this contract, the specific charge standard and the service item refer to the technical service related material or the technical service contract.

9、如下不可抗力影响合同的履行时，履行合同的期限应延长，直至解除合同。

Party B's technical department may provide the technical service other than this contract, the specific charge standard and the service item refer to the technical service related material or the technical service contract.

战争及政治原因；火灾、洪水、台风、地震等自然灾害；国内外法定节假日；政府及政策原因；生产商原因。

The war and political reasons; fire, flood, typhoon, earthquake and other natural disasters; national and International Holidays; government and policy reasons; producer reasons.

10、争议解决/Dispute Resolution:

因执行本合同所发生的或与本合同有关的一切争议，双方应通过友好协商的方式解决，如经协商不能达成协议，则由乙方所在地人民法院裁决。

All disputes arising out of or in connection with the execution of this contract shall be settled through friendly negotiation or, if no agreement can be reached through negotiation, by the People's Court of Party B.

11、合同的生效、变更及其它/Entry into force, alteration and other aspects of the contract.

（1）本合同由双方签字盖章后生效。

This contract shall come into force after being signed and sealed by both parties.

（2）对本合同的任何变更、修改和增减，须经双方协商同意后签署书面文件，作为本合同的附件组成部分并具有同等效力。

Any modification, modification, addition or subtraction of this contract shall be made by the parties through consultation and agreement and shall be made in writing as an integral part of the appendix to this contract and shall have the same effect.

（3）本合同一式二份，双方各执一份，具有同等效力。
